Makini School Limited is preparing to take over the operations of Regis Runda Academy Limited, as disclosed in a legal notice issued under the Transfer of Businesses Act (Cap. 500).
The planned transfer involves the school business located on Land Reference Number 11681/10 in Nairobi and is contingent on the fulfilment of certain preliminary conditions.
According to the public announcement, the process is being initiated through a formal notification procedure, marking the beginning of a mandatory 60-day window within which stakeholders may lodge any relevant claims or objections.
The notice opens with the following declaration: “NOTICE is hereby given under the Transfer of Businesses Act (Cap. 500) that the school business currently operated by Regis Runda Academy Limited (the Transferor) on the property known as Land Reference Number 11681/10 (the School Business) is, subject to the fulfilment of certain conditions precedent, intended to be transferred to The Makini School Limited (the Transferee).”
While the upcoming transfer is significant in terms of educational business realignment, the obligations tied to the previous operator will not be shifting along with the business itself.

Regis Runda Academy Limited has formally accepted continued liability for all debts and commitments accumulated up to the point of transfer completion.
This includes an explicit promise to settle all such matters within the notice period.
“All debts or liabilities due and owing by the Transferor in respect of the School Business up to the date of completion of the transfer of the School Business shall remain the sole responsibility of the Transferor and any claims relating thereto that are raised within the Notice Period shall be received, settled, and discharged exclusively by the Transferor,” the note states.
Makini School Limited, the receiving party, has clearly signalled it will not inherit any pre-transfer liabilities.
The transferee has taken a firm stance in distancing itself from historical claims or financial obligations tied to Regis Runda Academy’s operations. This protection from legacy debt is underscored in the notice, which affirms:
“The Transferee shall not assume, and does not intend to assume any claims or liabilities whatsoever incurred by the Transferor in relation to the School Business arising prior to the completion of the transfer of the School Business to the Transferee.”
Creditors and any parties with pending claims have until the end of the 60-day notice period to take action.
After this window closes, any unsettled claims will no longer be recognised.
The notice warns that failure to act within this timeframe will result in permanent forfeiture of legal standing in relation to the business.
The transfer will take effect once all conditions have been satisfied.
Until then, Regis Runda Academy remains responsible for its obligations, while Makini School awaits the completion of formalities before stepping in as the new operator.
